Pre-IPO – Series D

Pre-IPO Series D funding is a late-stage investment round, typically $100M+, designed for mature companies seeking to accelerate expansion, fuel acquisitions, or reach profitability before an IPO. It focuses on scaling proven models, often involving private equity or crossover investors. Risks include high valuation pressure, significant dilution, and potential “down-round” scenarios if growth stalls

During the this phase the risk is less high, but a large part of the investment can be easily lost, thus the valuation is the sixth lowest. Only investors who can afford a major loss should be considering this phase.
